Welcome to StockPriceCatalyst.com (the "Platform" or "Service"), operated by CarobTree4 Technologies LLC ("we," "our," or "us"), a limited liability company organized under the laws of the State of New Mexico, United States, with its registered address at 412 W 7th St, Clovis, NM 88101.

These Terms of Service ("Terms") govern your access to and use of the Platform, including any content, functionality, and services offered on or through the Platform.

By accessing or using the Platform, registering an account, or subscribing to any plan, you agree to be bound by these Terms. If you do not agree, you must not use the Platform. These Terms form a binding legal agreement between you and CarobTree4 Technologies LLC.

1. Eligibility and Geographic Availability

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Platform. By using it, you represent that you meet this requirement and are not barred from using the Service under applicable law. The Platform is available worldwide, except for residents of the European Union (EU) and the European Economic Area (EEA). It is not available to minors or for commercial redistribution.

Geoblocking for EU/EEA users: The Platform is research software that analyzes publicly available corporate press releases of companies listed on NASDAQ, NYSE, and AMEX. It does not provide regulated investment advice and does not recommend that any person buy, sell, or hold any financial instrument. Even so, under Directive 2014/65/EU (MiFID II) some forms of investment research or analysis may be treated as a financial service. On that basis the Platform is treated as a financial service for the limited purpose of EU geographic restrictions, and is therefore outside the unjustified geo-blocking prohibition in Regulation (EU) 2018/302 (Article 3.2.b). Access from the EU/EEA is restricted by residence or nationality to comply with EU financial rules. If you access from the EU/EEA, your use violates these Terms and may result in immediate account termination.

2. Nature of the Service (what we are and what we are not)

The Platform is a paid software-as-a-service (SaaS) research tool. We collect publicly available U.S. corporate press releases, compare them with historical public news and price data, and generate structured AI reports for the subscriber’s own research and due diligence.

We are not, and the Platform does not provide:

• investment advice, trading signals, or recommendations to buy, sell, or hold any security or other financial instrument;
• brokerage, order execution, custody, asset management, fund management, or solicitation of investments;
• CFDs, binary options, penny stocks, financial spread betting, crypto-asset products, or any product that takes or invests customer capital;
• credit, loans, insurance, currency exchange, or payment services.
CarobTree4 Technologies LLC is not a registered investment adviser (RIA) and is not registered with the U.S. Securities and Exchange Commission (SEC) or FINRA.

Any statistics, hit rates, or price-change figures shown on the Platform are historical observations of public data. They are not forecasts, not the performance of a trading strategy, and not a promise of profit. Past performance does not indicate future results. Investing involves significant risk, including possible loss of capital.

We sell access to software and research reports. We do not sell financial products.

3. Description of Services

The Platform provides artificial intelligence (AI)-driven analysis of corporate press releases from publicly traded companies on NASDAQ, NYSE, and AMEX (with market capitalization exceeding $1 billion USD). The analysis focuses on whether a press release resembles past public events that were followed by significant stock-price movements. Key features include:

• Daily scans and summaries of press releases.
• Historical catalyst database (over 10 years of data).
• Automated classification and personalized reports.
• Tools such as the daily classified-news list, My Watchlist, Real-Time Press Releases, and communication frequency analysis.
• Optional access to a private Telegram channel with a daily market snapshot and research summaries.
Reports are available in English and Spanish. Full feature access requires a subscription. We do not provide real-time trading advice, brokerage services, or guaranteed predictions. All analyses are generated by artificial intelligence based on public data and historical patterns; past performance does not indicate future results.

4. Accounts and Registration

To access the Platform, you must create an account by providing a valid email address and password. You agree to keep your account information accurate and confidential. You are responsible for all activities under your account. We reserve the right to suspend or terminate accounts for violations of these Terms.

By registering, you represent that you reside in a permitted jurisdiction. We verify location via IP; unauthorized accesses are blocked.

For the first 100 users who pre-registered via the homepage form (using only email), we offered lifetime free access to the old Basic Plan (Includes: daily classified-news list, daily press releases, RSS link for all data, data export to Excel for personal analysis), valid as long as the Platform exists. This offer ended at March 2026, at which point new users must subscribe. Pre-registered free users retain access but cannot upgrade without a new paid account using a different email.

5. Subscriptions and Payments

The Platform operates on a monthly subscription model via Stripe (our third-party processor). All payments are in USD. There are no annual subscriptions.

• Free Trial: New paid subscribers receive 7 days of free access on our monthly plan. Full access during the trial, without card requirements.

• Plans: Monthly Plan: $19/month. Includes: daily classified-news list, daily press releases, RSS link for all data, data export to Excel for personal analysis, My Watchlist, Following function to monitor a company automatically every few days, and access to the private Telegram channel with a daily market snapshot and research summaries.

• Billing: Once the trial period ends, you will receive an email with the payment details. Subscriptions auto-renew monthly. You authorize us to charge your card via Stripe.

• Cancellation: Cancel anytime via your account dashboard. Access continues until the end of the paid period; no further charges. No refunds or prorated credits for cancellations.

• No Refunds: All sales are final. No refunds for cancellations, except as required by law (e.g., 14-day cooling-off period under U.S. consumer laws or equivalents).

If you believe there was an error in a charge, contact support@stockpricecatalyst.com within 30 days.

6. Intellectual Property

The Platform, including AI models, databases, reports, and content, is owned by CarobTree4 Technologies LLC or our licensors. You are granted a limited, non-exclusive, revocable license to access and use the Service for personal, non-commercial purposes. You may not copy, modify, distribute, or reverse-engineer any part of the Platform. Generated reports are for your internal use only; you retain no ownership rights.

Reports generated by our AI (based on analysis of public data) are the exclusive property of CarobTree4 Technologies LLC. Their publication on any platform or physical/digital media is prohibited without our explicit written consent.

7. User Conduct

You agree not to:

• Use the Platform for illegal purposes or to violate securities laws.
• Share account credentials or access with others.
• Upload harmful code, spam, or misleading data.
• Attempt to scrape or automate data extraction beyond provided exports (e.g., Excel/RSS).
• Attempt to circumvent geoblocking (e.g., VPN) to access from prohibited jurisdictions.
We may monitor usage to enforce these Terms.

8. Disclaimer and Limitation of Liability

Our AI analyzes historical patterns in press releases and stock price movements (e.g., moves of more than 20% within 7 days) using public data. The results are not predictions, trading signals, or recommendations to buy, sell, or hold any security. Investing involves significant risks, including the possible total loss of capital. Before acting on any information, always consult qualified advisers (e.g., financial planner, accountant, attorney).

Each report includes: "This content is solely for informational purposes and does not constitute financial advice. The information has been generated by artificial intelligence analyzing public company data. AI Notice: The Platform uses artificial intelligence (Grok via xAI API) to generate analyses based on public data. We do not guarantee exact or perfect accuracy in results; errors or inaccuracies may occur. Although we continuously improve our processes to enhance accuracy, CarobTree4 Technologies LLC assumes no responsibility for losses, gains, or investment decisions arising from the use of this information. As an investor, you are solely responsible for independently verifying all provided information, consulting qualified professional advisers, and assuming all risks associated with your market operations.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ACCURACY, AVAILABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR TRADING LOSSES, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE LAST MONTH (OR $0 FOR FREE USERS).

9. Indemnification

You agree to indemnify and hold us harmless from claims arising from your use of the Platform, violation of these Terms, or infringement of third-party rights.

10. Termination

We may terminate or suspend your access at any time for violations, with or without notice, including attempts to access from EU/EEA. Upon termination, your right to use the Service ends; outstanding payments remain due.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New Mexico, USA, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the state or federal courts of New Mexico. You waive jury trials and class actions.

For California residents: CCPA/CPRA rights apply (see Privacy Policy). For Canadian residents: We comply with PIPEDA. For Brazilian residents: We comply with LGPD. For other countries: We comply with applicable local data protection laws.

12. Changes to Terms

We may update these Terms at any time. Continued use constitutes acceptance. We will notify you of material changes via email or on the Platform.
